Terms of Service

By creating an account or using Herai, you agree to be bound by these Terms. If you do not agree, do not use the platform.

Herai provides a salon management platform including: an automated voice receptionist, appointment scheduling, client management, stylist management, analytics, and knowledge base tools. The service is provided on a subscription basis.

You must be at least 18 years old and authorized to operate a professional hair, beauty, barber, nail, or related personal-care business to use Herai. Independent stylists renting a chair or station qualify.

You are responsible for maintaining the confidentiality of your login credentials. You must notify us immediately of any unauthorized access at contact@herai.pro. One account per salon location.

• Subscriptions are billed monthly in advance via Stripe

• You may cancel your subscription at any time from the Settings page
• Cancellation takes effect at the end of the current billing period; you retain access until then
• Failed payments: if your card is declined, we will retry and notify you by email; repeated failures after 7 days may result in account suspension

You retain full ownership of all data you enter into Herai — client profiles, appointments, notes, and any other content. We process your data solely to provide the service. You may export or delete your data at any time from the Settings page.

You agree not to:

• Use Herai for any unlawful purpose
• Attempt to access another salon's data
• Reverse engineer, decompile, or copy the platform
• Upload malicious code or attempt to compromise system security
• Resell or sublicense access to Herai

We target 99.9% uptime but do not guarantee uninterrupted service. Scheduled maintenance will be announced in advance. We are not liable for downtime caused by third-party services (Vapi, Twilio, Stripe, Supabase).

To the maximum extent permitted by law, Herai shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages — including but not limited to loss of revenue, profits, goodwill, data, clients, or business opportunities — even if advised of the possibility of such damages.

Our total aggregate liability for any claim arising out of or relating to these Terms or the Service shall not exceed the total amount you paid to Herai in the three (3) months immediately preceding the event giving rise to the claim.

Neither party shall be liable for any failure or delay in performance caused by events beyond its reasonable control, including but not limited to natural disasters, war, terrorism, labor disputes, power outages, internet service disruptions, or failures of third-party services we rely on (Vapi, Twilio, Stripe, Supabase, Vercel).

We reserve the right to suspend or terminate accounts that violate these Terms, with or without notice. You may terminate your account at any time from the Settings page. On termination, we will provide you a reasonable window (at least 30 days) to export your data before permanent deletion.

We will notify you by email at least 30 days before any material changes take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law principles.

Binding arbitration. Any dispute arising out of or relating to these Terms or your use of the Service shall be resolved exclusively through binding arbitration administered by JAMS (Judicial Arbitration and Mediation Services) under its Comprehensive Arbitration Rules, conducted in English. The arbitration shall take place in Delaware unless both parties agree otherwise. Each party bears its own costs.

Small claims carve-out. Either party may bring an individual action for amounts under $10,000 in the small claims court of the state where you reside.

Class action waiver. You and Herai each waive the right to a jury trial and to participate in any class action, collective action, or class-wide arbitration.

Consumer protection. Nothing in this section overrides mandatory consumer protection rights under the laws of your state or country of residence.

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect. The invalid provision will be replaced with a valid provision that most closely matches the intent of the original.

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Herai regarding the use of the Service and supersede any prior agreements or understandings, whether written or oral.
